Terms of service.

1. About these terms

These terms govern your access to and use of the Sync-RX platform and any related services, websites and APIs (together, the "Services"). The Services are provided by Swan Medical Technologies Ltd, a company registered in England and Wales (company number 17159551), with its registered office at 7 Hatchers Mews, London SE1 3GS ("Sync-RX", "we", "us", "our"). By accessing or using the Services you agree to be bound by these terms.

2. Eligibility

The Services are intended for use by UK regulated pharmacies, prescribers and healthcare brands and their authorised personnel. You confirm that you have the authority to bind your organisation to these terms and that your use of the Services will comply with all applicable laws and professional standards, including those issued by the GPhC, MHRA and CQC.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use. We may suspend or terminate access where we reasonably believe there has been a breach of these terms or a risk to patient safety.

4. Acceptable use

You agree not to:

• use the Services in any way that breaches applicable law or regulation;
• attempt to gain unauthorised access to any part of the Services or related systems;
• interfere with the integrity, security or performance of the Services;
• use the Services to transmit unlawful, harmful, or misleading content;
• reverse engineer, copy or resell the Services except as permitted by law.

5. Patient data and privacy

You are the data controller for patient and clinical data processed through the Services. Sync-RX acts as your data processor and processes personal data only on your documented instructions, in accordance with our Data Processing Addendum and applicable UK GDPR and Data Protection Act 2018 requirements.

6. Fees and payment

Fees for the Services are set out in your order form or commercial agreement. Unless otherwise agreed, fees are payable monthly in advance and are exclusive of VAT. Late payments may incur interest at the rate set out in the Late Payment of Commercial Debts (Interest) Act 1998.

7. Intellectual property

Sync-RX and its licensors retain all rights, title and interest in the Services, including all related software, documentation, branding and improvements. You retain ownership of your content and data. You grant us a limited licence to use your content and data solely as necessary to provide and improve the Services.

8. Service availability

We work hard to keep the Services available, but we do not guarantee uninterrupted access. Planned maintenance will be communicated where reasonably practicable. Service levels, where applicable, are described in your order form or service level addendum.

9. Limitation of liability

Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence or for fraud. Subject to that, our total liability arising out of or in connection with the Services in any 12 month period is limited to the fees paid by you to Sync-RX in that period. We are not liable for indirect or consequential loss, loss of profits, loss of revenue, loss of goodwill or loss of anticipated savings.

10. Termination

Either party may terminate these terms in accordance with the notice period set out in your order form. We may suspend or terminate the Services immediately if you commit a material breach that is not remedied within 14 days of notice. On termination, your right to use the Services ends and we will make a reasonable export of your data available for a limited period.

11. Changes to these terms

We may update these terms from time to time. Where changes are material, we will give you reasonable notice before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated terms.

12. Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these terms or the Services.
